It’s important to execute the relevant repurchase agreements before recording them in your cap table. Recording the repurchase in the cap table by itself does not effectuate the legal repurchase transaction.

Recording Share Repurchases

Once you’ve legally executed a share repurchase, you can record the repurchase and upload the repurchase agreements in your cap table:

  1. Navigate to Securities > Shares.
  2. Find the relevant share security and click on it to open the share security page.
  3. Click on the Actions button in the top right corner and select Record repurchase.
  1. Enter the repurchase details and upload the executed repurchase agreement.
  1. Review the repurchase details and confirm the repurchase.

In the case of a partial repurchase, a balance share security will be created automatically to track the remaining shares.

Recording Repurchases Associated with a Stakeholder Termination
